These Terms and Conditions (“Terms”) serve as a binding contract between you (“you” or “your”) and Savus, Inc. (“us,” “our,” “we,” or “Savus”). These Terms apply to both our site at savus.tech, and any other Sites and Services (“Sites and Services”) provided by Savus or our subsidiaries and affiliates.

Use of any Savus Sites or Services constitutes your acceptance of these Terms and Privacy Policy. Please review our Privacy Policy at (savus.tech/privacy-statement) to understand how we use information we collect from you when you access, visit, or use our Sites and Services. The Privacy Policy is incorporated into and part of these Terms. By visiting, using, accessing, or submitting information to any Savus Sites or Services, you agree to be bound by these Terms and the Savus Privacy Policy. If you do not accept these Terms in full, do not use any Savus Sites or Services. These Terms govern your use of all Savus Sites and Services, however accessed, including via an internet browser, smartphone, tablet, or any other device.

This website and all other Savus Sites and Services are provided “as is,” without warranty of any kind. No representative, alternate party or agent has authority to create any warranty on the behalf of Savus regarding the Sites and Services. Savus and our employees, agents, third-party information providers, and licensors do not warrant that our Sites and Services will be accurate, reliable, uninterrupted, or free of errors. We reserve the right to update, modify or discontinue any feature of our Sites or Services at any time.

1. Intellectual Property Rights

Unless otherwise noted, all content contained on the Savus website or used in providing our Sites and Services is the property of Savus and/or our affiliates or licensors and is protected by United States copyright law, trademark law, international conventions, and other intellectual property laws to the maximum extent possible and permitted by law. The names of our products and services contained herein are trademarks, service marks or registered service marks of Savus, its affiliates or subsidiaries. These Terms do not grant you or any third party any right, title, or interest to the intellectual property of Savus, its affiliates, or its subsidiaries.

By use of any of our Sites and Services you agree not to use our copyrighted content for any purpose without prior written consent. You also agree not to duplicate the design or “look and feel” of any Savus Sites or Services without our prior written consent. This includes a prohibition on use of material originating from any Savus website, product, or service to start any competing entity. The right to use the content of any Savus Sites or Services is not transferable to any individual, entity, or third party.

You may not copy, reproduce, create derivative works, distribute, transmit, display, perform, publish, license, modify, transfer, or sell any information, data, or content from any Savus Sites or Services without express prior written consent from us, or use such information or content to spam other parties of any kind. Information obtained from any Savus Sites or Services may

not be portrayed in any manner other than that originally intended by Savus without violating these Terms. If you download any content from any Savus Sites or Services, you agree to keep all copyright and other notices intact.

You also agree and acknowledge that the structure, organization, and code used in conjunction with our Sites and Services are proprietary to us. You shall not permit any person or entity to: (i) alter, enhance, or make derivative works of our Sites and Services or any content available via them; or (ii) reverse engineer, reverse assemble, decompile, or otherwise attempt to derive, source code from any Savus Sites or Services. You shall not sell, publish, disclose, transfer, display or otherwise make available to others any of the proprietary information used in providing our Sites and Services, including any modifications, enhancements, derivatives or other software and materials provided by us or copies thereof created in violation of these Terms.

2. Sites and Services Registration and Communications

To use certain features of the Savus Sites and Services, you may be required to register, including selection of a User Id and password. By registering with us, you hereby understand and agree that:

• you may receive communications via phone, email, text message, push notification, and/or mail that are related to Savus and its Sites and Services.

• any disclosures, agreements, notices, or other such notifications that we send to you electronically will satisfy any and all legal communication requirements.

• such communications may also include marketing materials from third parties or from us.

• we may monitor and record any telephone or electronic communications with you for security or quality purposes, to retain evidence of your communications or transactions with us, or to comply with any applicable laws and regulations.

You may opt out of receiving our marketing communications by contacting us at (info@savus.tech) or choosing to unsubscribe via whatever method is provided in the specific communication.

3. Standards of Conduct

By using or accessing any Savus Sites or Services, you agree to be governed by the Standards of Conduct (“Standards”) outlined below. Without prior notice and at our sole discretion, Savus reserves the right to promptly suspend, limit, or terminate your access to Sites or Services if we determine that your use violates or appears to violate our Terms and Standards.

You will not instigate, authorize, or facilitate any attempt by others to use the Savus Sites and Services to:

• disable, damage, impair, overburden, or interfere with any other party’s use of our Sites and Services.

• access or attempt to access information or materials not intentionally made available through our Services.

• use false or misleading information or impersonate any other person living or dead in connection with any user account.

• engage in fraudulent activities or create a false identity when using our Sites and Services

• interfere with, circumvent, or remove any security-related features of our Sites and Services, including those that prevent copying or enforce limitations on the use of our Sites and Services.

• introduce harmful code, viruses, bots, worms, spyware, Trojan horses, or other such malware into any of our Sites and Services.

• utilize any site search/retrieval application, robot, spider, or other automated device or process to retrieve, access, scrape or index any portion of our Sites and Services or any content available through our Sites and Services.

• misuse Savus Sites or Services for purposes for which they are not intended. If we identify use for purposes other than they are intended, such use will constitute a violation of both these Terms and Savus intellectual property rights.

We reserve the right to also designate other conduct not mentioned here as prohibited. The list above is intended to be illustrative, not comprehensive.

4. Disclaimer

Under no circumstances is Savus or any of our affiliates or subsidiaries liable for any loss or damage caused by your use of or reliance on information from our Sites and Services, failure of our Sites and Services to operate as intended, or information provided by another user. It is your responsibility to evaluate the content available through our Sites and Services.

Our Sites and Services, along with any content found on or accessible from our Sites and Services are provided “as is” without warranty of any kind, either express or implied. This includes without limitation: implied warranties of merchantability, fitness for a particular purpose and non-infringement, or quiet enjoyment.

Without limitation, we do not warrant that the information available through our Sites and Services is error-free, that the functions or services provided by our Sites and Services will be uninterrupted, secure or free of errors, that any defects will be identified or corrected, or that any server used to make our Sites and Services available is free of viruses or other harmful components. Any data or reports provided on Savus Sites or Services are provided “as-is” and we disclaim any liability or warranty regarding such data or report’s completeness, accuracy, or correctness. Any purchase or sales transactions completed when using the Sites or Services are at the customer’s own risk.

Savus is not an insurance company or insurance underwriter, and therefore makes no representations or warranties regarding the rates, terms, coverage, fees, quotes, or services offered to you by insurance companies through our Sites or Services. Savus does not guarantee that the rates, terms, coverage, fees, quotes, or services offered by insurance companies through our Sites or Services are the best available.

The information provided through the Savus Sites and Services is a general description of insurance coverage that may be available for you for purchase. The exact coverage provided by any insurance company is subject to the terms, conditions, exclusions and underwriting guidelines of that insurance company, and the specific terms of the insurance policy they issue to you. 5. Limitation of Liability

Under no circumstances shall Savus be liable to you or any other user, person, entity or third party for any incidental, punitive, consequential, special, indirect, punitive, exemplary or other damages, including without limitation damages for loss of profits, data (including your personal data as described in our Privacy Policy), or use or costs of obtaining substitute goods or services due to the unauthorized access to, use, misuse, or inability to use of our Sites and Services, whether based upon warranty, contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages or losses, and notwithstanding the failure of purpose of any limited remedy.

Some jurisdictions do not allow the exclusion of some warranties or the exclusion or limitation of liability for incidental or consequential damages. Therefore, the above limitations shall instead apply to the maximum extent permitted by law in your jurisdiction.

6. Modification and Termination of Service

At our sole discretion, we may terminate your access to our Services at any time and for any reason upon electronic notice to you at your registered email address. You agree that Savus and our affiliates and subsidiaries are not liable to you or any other entity for any termination of or limitation to your access to our Sites and Services.

We may make changes, improvements, or upgrades to our Sites and Services from time to time. These Terms will also apply to any such changes, improvements, or upgrades. We may add or remove features and alter payment structures without limitation, including transitioning free services into paid services, and the reverse. The foregoing right is not a sale of any aspect or copy of our Sites or Services, and Savus and our subsidiaries and affiliates retain all rights and interests in and title to our Sites and Services.

7. Governing Law

The above Terms as well as any potential dispute between you and Savus or our affiliates and subsidiaries, shall be governed by the laws of the State of Delaware.
